Meridian Design Collective - Terms and Conditions
Welcome to Meridian Design Collective. These Terms and Conditions govern your use of our services, including Brand Identity Design, UI/UX Design for Digital Products, Experiential and Exhibition Design, Product Concept Development, Print and Editorial Design, Packaging Design, Environmental Graphics, Design Strategy Workshops, and User Research and Prototyping. By engaging with our services or accessing our online platform, you agree to comply with and be bound by these terms. Please read them carefully.
1. Definitions
- "Meridian Design Collective," "we," "us," or "our" refers to Meridian Design Collective, a design consulting and creative services firm located at 14 Regent Street, 3rd Floor, London, Greater London, SW1Y 4PR, United Kingdom.
- "Client," "you," or "your" refers to the individual, company, or organization engaging with our services.
- "Services" refers to the design consulting and creative services offered by Meridian Design Collective, including but not limited to brand identity, UI/UX, experiential design, product concept development, print and editorial design, packaging, environmental graphics, design strategy, user research, and prototyping.
- "Project" refers to any specific engagement for which Meridian Design Collective is providing Services to the Client.
2. Acceptance of Terms
By obtaining a quotation, placing an order, or otherwise engaging Meridian Design Collective for any Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute the entire agreement between you and Meridian Design Collective concerning the provision of Services.
3. Service Engagements and Quotations
- All Services are provided based on a mutually agreed-upon proposal, statement of work, or quotation. Such documents will outline the scope of work, deliverables, timelines, and fees.
- Quotations are valid for 30 days from the date of issue unless otherwise specified.
- Any changes to the agreed scope of work after a Project has commenced may result in additional charges and revised timelines, subject to mutual agreement.
4. Payment Terms
- Payment terms, including deposit requirements and payment schedules, will be detailed in the Project proposal or invoice.
- Invoices are typically issued at key project milestones or on a monthly basis for retainer services, as agreed.
- Unless otherwise agreed, full payment for services is due within 30 days of the invoice date.
- Late payments may be subject to interest at a rate of 8% per annum above the Bank of England base rate, calculated daily from the due date until the date of full payment.
5. Client Responsibilities
- The Client agrees to provide all necessary information, content (text, images, branding guidelines, etc.), and feedback in a timely manner to facilitate the smooth progress of the Project.
- Delays caused by the Client's failure to provide information, approvals, or materials may result in extended project timelines and potentially additional costs.
- The Client warrants that all materials provided to Meridian Design Collective do not infringe upon any third-party intellectual property rights.
6. Intellectual Property
- Upon full payment for the Project, the intellectual property rights for the final deliverables created by Meridian Design Collective for the Client (e.g., final logos, UI designs, exhibition layouts) will be transferred to the Client, unless otherwise specified in writing.
- Meridian Design Collective retains the right to display the completed work in its portfolio and for promotional purposes, unless a specific non-disclosure agreement is in place.
- Any concepts, preliminary designs, or unused intellectual property developed during the course of a Project remain the property of Meridian Design Collective.
7. Confidentiality
Both parties agree to keep all confidential information, including but not limited to business strategies, client lists, project details, and proprietary design methodologies, confidential and not to disclose it to any third party without prior written consent, except where required by law.
8. Limitation of Liability
- Meridian Design Collective provides its Services with reasonable skill and care. However, we do not warrant that all functions will be uninterrupted or error-free.
- In no event shall Meridian Design Collective, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
- Our total liability for any claim arising from or relating to these Terms or the Services shall not exceed the total fees paid by you to Meridian Design Collective for the specific Project giving rise to the claim.
9. Termination
- Either party may terminate a Project engagement with written notice if the other party breaches any material term of these Terms and fails to remedy the breach within 30 days of receiving notice thereof.
- In the event of termination by the Client without cause, the Client will be liable for all work completed up to the date of termination, plus any non-cancellable third-party costs incurred.
- In the event of termination by Meridian Design Collective due to Client breach, all outstanding payments will become immediately due.
10. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to Terms
Meridian Design Collective reserves the right to modify or replace these Terms and Conditions at any time. We will provide reasonable notice of any new terms. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
